PROFESSIONAL SERVICES AGREEMENT

This Agreement for Professional Services (hereafter Agreement) was made on August 15, 2005, between Company Name, Inc., from now on (hereafter ____), of Mailing Address, City Name, State, Zip and, Allen Enterprises (SS# xxx-xx-xxx) from now on (hereafter Dale), of  My Street Address My Urbanization , Bayamón, PR 00959

 

1.      Services to be performed. Dale agrees to perform the following services for CEI:

a.      Monthly Maintenance of: Local Area Network, Wide Area Network, all Operating Systems, Back–Up Procedures, (Contingent on COMPANY NAME purchasing proper hardware and or software.) and any minor enhancements, such as adding (configuring) new functional PC’s to the LAN, cabling assistance, Maintenance & Training will also be provided for remote access for   employees working from their homes or other remote locations. 

b.      Support for Network, Systems Failure, and / or Workstation outages.

c.       Telecommunications Consultant.

d.      Any Special projects, such as server upgrades, custom programming, and PC repairs, are not covered in this agreement, and will be quoted separately by Dale.  “Dell” computers are responsible for hardware failures on the File server and Dale will be responsible for consulting with Dell on any issues in this area.

2.      Time for Performance. Dale agrees to complete the performance of these services averaging, six (6) hours a week or twenty (24) hours a month. 

3.      Duration.  This contract is valid for a period of one year.  This contract will automatically renew itself on a monthly basis if it has not been previously cancelled and / or renewed.

4.      Cancellation of this agreement.  Dale cannot terminate this contract. COMPANY NAME may terminate this contract after 2 written and signed notices (warning letters) of dissatisfaction of services, and 30 days written notice. 

5.      Chain of Command:  Service request will come from 1 or 2 designated and qualified COMPANY NAME staff members. All service requests will flow through these designated people.

6.      Incident Priority Levels Definition.  All incidents will be categorized by priority levels for support, described as follows:

a.     Priority level one (1): when the network / system is completely out severely affecting COMPANY NAME business.

b.     Priority level two (2): when several users / workstations are out of operation, effecting an entire department. This includes network printing.

c.       Priority level three (3): when one or more users / workstations are not operating properly.  Examples include: (but are not limited to) loose or unplug cables, system restarts, inability to print to stand alone printers, moving computers and/or peripherals desk to desk, etc.

7.      Support Response Time.  Priority 1 & 2 incidents that arise will be given telephone or remote support within 4 hours. If the incident cannot be solved through the telephone, they will be attended to, based on its Priority level, as defined above in section 6.

        On - site (or remote) support will be given as follows:

a.     Priority level one (1): same day or next day on–site, no more than twenty four (24) hours from service call or problem notification via fax, e-mail, etc.

b.      Priority level two (2): on – site, in no more than three (3) days from service call or problem notification via fax, e-mail, etc.

c.       Priority level three (3): COMPANY NAME Staff members will address the majority of level three (3) problems.  On–site, in no more than one week, five (5) days, from service call or problem notification via fax, e-mail, etc.
 

8.      Payment. In consideration of Dale performance of these services, COMPANY NAME agrees to pay Dale as follows: $000.00 a month, payable bimonthly on the 15th and 30th of each month.

9.      Invoices. Dale will submit one master invoice for the year of service performed, and apply COMPANY NAME bimonthly payments toward that invoice.

10.  Independent Contractor. The parties intend Dale to be an independent contractor in the performance of these services. Dale shall have the right to control and determine the method and means of performing the above services; COMPANY NAME shall not have the right to control or determine such method or means.

11.  Other Clients. Dale retains the right to perform services for other clients.

12.  Assistants. Dale, at Dale’s expense, may employ such assistants, as Dale deems appropriate to carry out this agreement. Dale will be responsible for paying such assistants, as well as any expense attributable to such assistants, including income taxes, unemployment insurance, and social security taxes, and will maintain workers' compensation insurance for such employees.

13.  Equipment and Supplies. Dale, at Dale own expense, will provide all equipment, tools, and supplies for trouble shooting and problem solving, necessary to perform the above services, and will be responsible for all other expenses required for the performance of those services. COMPANY NAME: Must provide any required hardware and/or legally licensed software, for Dale to service. Dale is not responsible for purchasing day-to-day software or hardware.

14.  Confidentiality.  Dale acknowledges and understands that in the course of carrying out and performing its professional services to COMPANY NAME, Dale will have access to and will be entrusted with, detailed confidential information relating to COMPANY NAME. The disclosure of any such confidential information would be highly detrimental to the best interests and security of COMPANY NAME.                

Accordingly, Dale acknowledges, covenants and agrees that it will maintain the confidentiality of all such information, and that she will not disclose any such detailed confidential information to any person, firm or corporation, nor shall use, directly or indirectly, the same for any purpose other than for the purposes as stated herein in section two (1) – Services to be Performed - nor will it disclose for any purpose, other that stated herein, the affairs of COMPANY NAME or any other information which it may acquire during he term of this Agreement.
